Terms of Service — ARC Automation

These Terms of Service ("Terms") govern your access to and use of https://arcautomation.app and the ARC application (the "Service") operated by ARC Automation ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1.Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using ARC, you represent that you meet these requirements. The Service is intended for business use — resellers, vintage sellers, thrift resellers, and multi-platform e-commerce operators.

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms, and "you" refers to both you and the business.

2.Accounts and Registration

2.1 Account Creation

You must register for an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@arcautomation.app if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account.

2.3 One Account Per User

Each account is for a single user or business entity. You may not share your account credentials with others or create multiple accounts to circumvent plan limits.

3.Subscriptions and Payment

3.1 Paid Plans

Access to ARC requires a paid subscription. Subscription fees are charged in advance on a monthly or annual basis, depending on the plan you select. All prices are listed in US dollars.

3.2 Billing

Payments are processed by Stripe. By providing a payment method, you authorize us to charge the applicable subscription fee on a recurring basis until you cancel. You are responsible for ensuring your payment information is accurate and up to date.

3.3 Free Trials

We may offer free trial periods at our discretion. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

3.4 Cancellation

You may cancel your subscription at any time from your account settings or by contacting us at support@arcautomation.app. Cancellation takes effect at the end of the current billing period. You retain access to the Service through the end of that period.

3.5 Refunds

All subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us within 30 days of the charge at support@arcautomation.app and we will review your request.

3.6 Price Changes

We reserve the right to change our subscription pricing at any time. We will provide at least 30 days' notice of any price increase via email or an in-app notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service to list, sell, or promote illegal, counterfeit, or prohibited items on any marketplace
Violate the terms of service of any connected marketplace (eBay, Shopify, Etsy, Amazon, Walmart, etc.)
Use the Service to send spam, unsolicited messages, or engage in any deceptive practices
Attempt to gain unauthorized access to our systems or another user's account
Reverse engineer, decompile, or disassemble any part of the Service
Scrape, crawl, or systematically extract data from the Service without our written permission
Use the Service in a way that overburdens or impairs our infrastructure
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Upload or transmit viruses, malware, or any code designed to disrupt the Service

Violation of this section may result in immediate suspension or termination of your account without refund.

5.Connected Marketplace Accounts

The Service allows you to connect third-party marketplace accounts (eBay, Shopify, Etsy, etc.). By connecting these accounts, you:

Represent that you are authorized to connect and act on behalf of those accounts
Authorize ARC to read and write data to those platforms on your behalf, within the permissions you grant
Acknowledge that your use of connected platforms is also governed by those platforms' own terms of service
Agree that we are not responsible for actions taken on connected platforms, including listing rejections, account suspensions, or policy violations

You can disconnect any integration at any time from your Settings page. Disconnecting revokes our access to that platform immediately.

6.AI-Powered Features

ARC uses artificial intelligence to help you identify items, generate listing titles, descriptions, and tags from photos you upload. Regarding AI features:

AI-generated content is provided as suggestions only. You are solely responsible for reviewing, editing, and approving any content before it is published to a marketplace.
We make no warranty that AI-generated titles, descriptions, prices, or tags are accurate, complete, or suitable for your specific item or marketplace.
We are not responsible for marketplace violations, listing removals, or disputes arising from AI-generated content you publish without review.
Images you upload for AI analysis are processed in real time by Anthropic's Claude API and are not stored by Anthropic beyond the immediate request.

7.Your Content

7.1 Ownership

You retain ownership of all content you create in the Service, including listing titles, descriptions, photos, tags, and inventory data ("Your Content").

7.2 License to Us

By using the Service, you grant ARC Automation a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service to you. We do not claim any ownership of Your Content.

7.3 Your Responsibility

You are solely responsible for Your Content. You represent that you own or have the rights to all content you upload, and that Your Content does not violate any third-party rights or applicable laws.

7.4 Data Export

You may request an export of your data at any time by contacting us at support@arcautomation.app. We will provide your data in a standard format within 30 days of your request.

8.Intellectual Property

The Service and all of its content, features, and functionality — including but not limited to the software, design, text, graphics, logos, and trademarks — are owned by ARC Automation and are protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right to use our name, logo, or trademarks without our prior written consent. Nothing in these Terms transfers any intellectual property rights to you other than the limited license to use the Service as described herein.

9.Shopify App — Additional Terms

If you use ARC as a Shopify app, the following additional terms apply:

Your use of the Shopify integration is also subject to the Shopify Terms of Service
We access your Shopify store data only as authorized by you and only to perform the functions you request
We are an independent service provider and are not affiliated with, endorsed by, or sponsored by Shopify Inc.
Shopify may update its API or policies in ways that affect our integration. We will make commercially reasonable efforts to maintain compatibility, but we cannot guarantee uninterrupted Shopify functionality
You can uninstall or disconnect the Shopify integration at any time without affecting other features of your ARC account

10.Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, error-free, or available at all times
Any errors or defects will be corrected
The Service is free of viruses or other harmful components
AI-generated content is accurate, appropriate, or suitable for your use
Marketplace integrations will function without interruption (as they depend on third-party APIs)

Your use of the Service is at your sole risk.

11.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARC Automation AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, business opportunities, or goodwill
Damages arising from marketplace policy changes, listing removals, or account suspensions on third-party platforms
Damages resulting from AI-generated content you choose to publish
Service interruptions or data loss caused by third-party providers

IN ANY CASE, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability is limited to the fullest extent permitted by applicable law.

12.Indemnification

You agree to defend, indemnify, and hold harmless ARC Automation and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service in violation of these Terms
Your Content or any content you publish to connected marketplaces
Your violation of any third-party rights, including marketplace terms of service
Your violation of any applicable laws or regulations

13.Termination

13.1 Termination by You

You may cancel your account at any time from your account settings or by contacting us. Upon cancellation, your access to the Service will continue until the end of your current billing period, after which it will terminate.

13.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if required to do so by law.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including limitations of liability, disclaimers, and indemnification) will continue to apply.

14.Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part of it) at any time, with reasonable notice where practical. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

15.Governing Law and Disputes

ARC Automation is based in the United States. These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be addressed by contacting us at legal@arcautomation.app. We will make good-faith efforts to resolve disputes informally within 30 days.

If a dispute cannot be resolved informally, you agree that it shall be submitted to binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access to the Service.

16.General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ARC Automation regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any successor in interest.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
